Terms and Conditions of Sale – Nanyunling

1. Precedence of Terms

By engaging with our services, the client expressly waives the application of their own standard terms and conditions, even if such terms are submitted after these Terms and Conditions of Sale. Any variation or exception shall only be valid if expressly agreed to in writing by both parties in advance.

2. Payment Terms

Unless otherwise stated on the invoice or confirmed in writing, all invoices are payable within twenty-one (21) business days from the invoice date.

Failure to make payment by the due date entitles Nanyunling to apply a fixed late payment interest of 10% on the outstanding balance. In addition, we reserve the right to suspend further service delivery without prior notice in case of delayed payment.

3. Collection and Recovery

If payment remains overdue for more than sixty (60) days past the due date, Nanyunling reserves the right to engage a third-party debt recovery service. All costs associated with such recovery, including legal fees and court expenses, shall be borne entirely by the client.

4. Withholding Tax Responsibilities

In jurisdictions where tax regulations require withholding at source, it is the sole responsibility of the client to settle such obligations with their local tax authorities. Under no circumstances shall Nanyunling be liable for any local tax withholdings or deductions. The full invoiced amount remains payable to Nanyunling without any reductions or offsets.

5. Service Obligations

Nanyunling is committed to delivering high-quality services within the agreed timeframes. However, unless explicitly stated otherwise, our obligations are obligations of means, not of results. We do not guarantee any specific outcomes and shall not be held liable for claims or damages made against the client by third parties or end consumers.

6. Claims and Complaints

Any complaints or claims regarding delivered services must be submitted to Nanyunling in writing via registered mail to our official business address within eight (8) calendar days of delivery. Claims submitted after this period may not be considered.
